Course Overview

This programme provides an end-to-end view of the contract lifecycle, from needs definition and sourcing strategy through drafting, governance, risk allocation, negotiation, performance management, change control, dispute resolution and closeout. Participants learn how to align commercial terms with organisational objectives, structure obligations and remedies, embed compliance and assurance, and coordinate stakeholders across legal, procurement, finance and operations. Emphasis is placed on clarity of scope, measurable deliverables, service levels, incentives, and controls that protect value, reduce leakage and support timely, defensible decisions throughout execution.

Objective:

Define a contract management framework aligned to organisational strategy and governance
Map lifecycle stages with roles, responsibilities, approvals and performance measures
Structure scopes, deliverables, SLAs and pricing models to balance risk and value
Allocate risk using appropriate clauses, limitations, warranties and indemnities
Prepare negotiation positions, trade-offs, fallbacks and escalation paths
Establish contract performance reviews, change control and issue management
Monitor compliance, obligations, records and audits for assurance and continuity
Manage disputes, remedies, termination, and effective contract closeout and lessons learned

Day 1 — Foundations & Lifecycle

Contract management purpose, operating model and lifecycle stages
Stakeholders, roles, RACI and governance forums across the business
Requirements definition, business case alignment and sourcing strategies
Documentation hierarchy, standards and records management

Day 2 — Scope, Pricing & Service Levels

Statement of Work structure, deliverables, milestones and acceptance criteria
Pricing models (fixed, T&M, indexed, incentive-based) and payment terms
Service levels, KPIs, credits and performance reporting rhythms
Change control design, approvals and communication protocols

Day 3 — Risk Allocation & Key Clauses

Identifying and allocating risks; proportionality and control selection
Liability frameworks, caps, exclusions, indemnities and warranties
IP rights, confidentiality, data protection and regulatory requirements
Force majeure, hardship, step-in, assignment and novation considerations

Day 4 — Negotiation & Governance in Delivery

Preparation: objectives, BATNA, trade-offs, fallbacks and concession planning
Stakeholder alignment, authority limits and issue escalation paths
Mobilisation, handover from sourcing to delivery and supplier onboarding
Performance reviews, corrective actions and variation management

Day 5 — Disputes, Remedies & Closeout

Non-conformance handling, remedies, liquidated damages and cure periods
Dispute prevention, notification, ADR frameworks and litigation readiness
Termination for cause/convenience, transition and continuity safeguards
Closeout checklist, benefits realisation and lessons learned capture
