This programme provides an end-to-end view of the contract lifecycle, from needs definition and sourcing strategy through drafting, governance, risk allocation, negotiation, performance management, change control, dispute resolution and closeout. Participants learn how to align commercial terms with organisational objectives, structure obligations and remedies, embed compliance and assurance, and coordinate stakeholders across legal, procurement, finance and operations. Emphasis is placed on clarity of scope, measurable deliverables, service levels, incentives, and controls that protect value, reduce leakage and support timely, defensible decisions throughout execution.

  • Define a contract management framework aligned to organisational strategy and governance

  • Structure scopes, deliverables, SLAs and pricing models to balance risk and value

Day 2 — Scope, Pricing & Service Levels

  • Statement of Work structure, deliverables, milestones and acceptance criteria
  • Pricing models (fixed, T&M, indexed, incentive-based) and payment terms
  • Service levels, KPIs, credits and performance reporting rhythms
  • Change control design, approvals and communication protocols

Day 3 — Risk Allocation & Key Clauses

  • Identifying and allocating risks; proportionality and control selection
  • Liability frameworks, caps, exclusions, indemnities and warranties
  • IP rights, confidentiality, data protection and regulatory requirements
  • Force majeure, hardship, step-in, assignment and novation considerations
